Getty Images, one of the world's leading visual content providers, has filed for bankruptcy protection in the U.S. to restructure approximately $2.1 billion in debt. The company, which has faced financial difficulties in an industry transformed by the proliferation of AI-generated images, plans to be delisted from the stock exchange and become a private company at the end of the process.

Getty Images Holdings Inc. filed for Chapter 11 bankruptcy in the U.S. Bankruptcy Court in the state of Delaware in order to restructure its finances.

The company stated in documents submitted to the court that its assets and liabilities each ranged between $1 billion and $10 billion.

Under the pre-negotiated restructuring agreement, the company aims to continue operations while restructuring its debt.

$533 MILLION IN NEW CAPITAL FOR THE COMPANY

According to the restructuring plan, investors including members of the Getty family and affiliates of Koch Equity Development will provide up to $533 million in new equity to the company.

As a result of the process, targeted for completion by the end of the year, Getty Images is expected to cease being a publicly traded company and become a private company.

The company announced that payments to suppliers will be made in full throughout the restructuring.

AI COMPETITION AND DEBT BURDEN PLAYED A ROLE

In Getty Images' financial difficulties, the transformation in the visual content industry was influential, along with the heavy debt burden.

Customers turning to AI-generated images instead of traditional stock photos increased competitive pressure in the market where the company operates.

Getty Images had entered a 30-day grace period by not making its unsecured bond interest payments due on September 1. The company stated at the time that it had the cash to make the payment but chose to use this period to reach a settlement with creditors.

MERGER WITH SHUTTERSTOCK DID NOT GO THROUGH

In January 2025, Getty Images signed a merger agreement with its rival Shutterstock valued at approximately $3.7 billion.

However, due to competition concerns and conditions imposed by the UK Competition and Markets Authority (CMA), the merger agreement was terminated in July 2026.

REPORTED A LOSS OF $85.8 MILLION

The company reported a net loss of $85.8 million in its second-quarter financial statements announced in August 2026. As of the end of June 2026, its total debt had reached $2.1 billion.

Trading of Getty Images shares on the stock exchange was suspended on September 29, 2026, while the shares began trading on the over-the-counter market as of September 30.
