Arçelik announced that it has decided to carry out a share sale transaction amounting to a total of 5.2 billion TL by selling its shares to Koç Holding. In the company's statement, it was emphasized that this transaction would not have an impact on the income statement, but it would create a significant reclassification change within the equity.
Arçelik announced that it has decided to sell shares to Koç Holding. In a statement made by the company to the Public Disclosure Platform (KAP), it was reported that shares with a nominal value of 48 million TL owned by Arçelik will be sold to Koç Holding A.Ş. It was stated that the sale transaction will be carried out within the framework of the "Wholesale Purchase and Sale Transactions Procedure" of Borsa İstanbul.
TOTAL SALE AMOUNT 5.2 BILLION TL
It was reported that the share sale price was determined based on the average of the weighted average prices formed in the market over the last 10 business days. Accordingly, the sale price per share is 108.29 TL, while the total sale amount is calculated as 5.2 billion TL. It was stated that the payment will be made in cash and upfront.
IMPORTANT CHANGE IN EQUITY
In the company's statement, it was emphasized that the transaction will not have an impact on the income statement, but it will create a significant classification change within equity. It was shared that the cost of the shares subject to the sale, as of November 30, 2025, is 10 billion TL, subject to inflation adjustment.
After the sale, it was noted that a decrease of 4.8 billion TL will be accounted for in the previous years' profit/loss item, and the 10 billion TL counterpart monitored under restricted reserves will be released and transferred to previous years' profits. As a result of these transactions, it is expected that there will be a net increase of 5.2 billion TL in Arçelik's total equity and previous years' profits. It was stated that the definitive impact of the transaction on the financial statements will be disclosed in the company's financial reports at the end of 2025.
