The majority shares of Kartonsan, one of Turkey's long-established cardboard manufacturers with 59 years of history, have changed hands. A 77.21 percent stake in the company was sold to Hasan Peker and Aydın Veli Serin for a total of $72 million. The share transfer process is expected to be officially completed once the closing conditions stipulated in the contract are fulfilled.
Majority shares of Kartonsan, one of Turkey's long-established cardboard manufacturers, have changed hands. 77.21 percent of the company's shares were sold to Hasan Peker and Aydın Veli Serin, with the sale price announced as $72 million.
According to the statement made to the Public Disclosure Platform (KAP), a Share Purchase Agreement was signed on July 6, 2026 with buyers Hasan Peker and Aydın Veli Serin for the transfer of Kartonsan shares totaling 77.21 percent owned by Pak Holding A.Ş., Asil Holding A.Ş., and Pak Gıda Üretim ve Pazarlama A.Ş.
SHARES EQUALLY DIVIDED BETWEEN TWO INVESTORS
According to the news on NTV, within the scope of the sale, each of Hasan Peker and Aydın Veli Serin will acquire shares corresponding to 38.605 percent of the company's capital.
According to the statement, the sale will be carried out at a total price of $72 million, subject to closing adjustments.
NEW STATEMENT WILL BE MADE UPON COMPLETION OF TRANSFER PROCESS
The company stated that after the share transfer transactions are actually completed, explanations regarding the mandatory tender offer process within the scope of the Capital Markets Board's Tender Offer Communiqué (II-26.1) will be separately shared with the public.
CLOSING CONDITIONS AWAITED FOR TRANSFER
It was stated that the share transfer transactions will be officially completed after all closing conditions stipulated in the Share Transfer Agreement are fulfilled.
Kartonsan has been operating for approximately 59 years and is among Turkey's leading cardboard manufacturers. With the completion of the share transfer, control of the company will pass to Hasan Peker and Aydın Veli Serin.
