In the fund investigation in which former Minister Fatma Betül Sayan Kaya is also mentioned, the details cited as the basis for the arrest request have come to light. In the prosecutor's referral letter, a series of findings were listed, ranging from the buy-sell transactions in Özata Denizcilik shares to the contacts established with Tera Group executives. In particular, it drew attention that the shares were transferred one day before the CMB's liquidation decision and that their price was paid on the same day.
In the arrest referral document prepared regarding former Minister of Family and Social Services Fatma Betül Sayan Kaya, transactions involving Özata Denizcilik shares, her contacts with Tera Group executives, and the timing of the share transfer stood out. The prosecutor's office made assessments that Kaya had access to information not disclosed to the public and knew in advance about the liquidation decision.
Within the investigation conducted by the Istanbul Chief Public Prosecutor's Office, former Minister Fatma Betül Sayan Kaya was referred to the magistrate judge with a request for her arrest on charges of 'Membership in an Organization Formed for the Purpose of Committing Crimes' and 'Opposition to the Capital Markets Law.' In the referral document, striking allegations were listed regarding Kaya's transactions through Özata Denizcilik shares and her relations with Tera Group.
FINDINGS REGARDING OZATD SHARES IN THE SPK REPORT
According to information provided by journalist Emrullah Erdinç, in the Capital Markets Board report cited as a basis in the referral document, there were assessments that Kaya had access to information about Özata Denizcilik (OZATD) shares that had not been announced to the public and could affect investors' decisions.
The prosecutor's office also stated that companies and funds within Tera Group carried out high-volume purchase transactions in the shares in question.
HER CONTACTS WITH TERA EXECUTIVES WERE INCLUDED IN THE FILE
It was included in the referral document that Kaya met with Tera Group Chairman of the Board Emre Tezmen and had a long-standing acquaintance with group executive Erdin Özel.
It was stated that, especially during the period when investments were made in OZATD shares, meetings between Kaya and Erdin Özel became more frequent. The information that Kaya opened an investment account within Tera Group was also cited among findings supported by transaction records and statements.
SHE TRANSFERRED HER SHARES ONE DAY BEFORE THE LIQUIDATION DECISION
Another issue the prosecutor's office focused on was the date on which the share transfer took place. According to the referral document, Kaya bought OZATD shares in April 2026. She transferred her shares on September 16, 2026.
The fact that this transaction was carried out only one day before the SPK's September 17, 2026 decision regarding the liquidation of funds was recorded as one of the important details in the investigation file.
THE SETTLEMENT PERIOD WAS NOT WAITED FOR; PAYMENT WAS MADE THE SAME DAY
In the referral document, the method of the share transfer and the payment date were also separately addressed. Under normal circumstances, a T+2 settlement period is applied in share sales made on the stock exchange, while it was stated that Kaya's shares were not sold on the stock exchange and were transferred to Tera Yatırım Menkul Değerler A.Ş. by book-entry transfer.
The prosecutor's office drew attention to the fact that the share amount was deposited into Kaya's account on September 16, the day the transfer transaction took place. Thus, the transaction, stated to have occurred outside the ordinary settlement process, became one of the striking headings in the referral document.
THE PROSECUTOR'S OFFICE ASSESSMENT THAT SHE HAD PRIOR KNOWLEDGE
The prosecutor's office evaluated together Kaya's entering into high-value transactions despite not having previously made stock market investments, her meetings with Tera Group executives, and her transferring her shares one day before the liquidation decision.
Based on these findings, the referral document included an assessment that Kaya had prior knowledge of developments that could affect share prices and of the liquidation decision.
GROUNDS FOR THE ARREST REQUEST
The Istanbul Chief Public Prosecutor's Office argued that there were facts in the file supporting a strong suspicion of crime. The prosecutor's office also drew attention to the possibility of flight and destruction of evidence, argued that judicial control measures would not be sufficient, and requested Kaya's arrest.
