“WE BID FAREWELL TO THOSE WHO DO WRONG AND CONTINUE ON OUR WAY”

While using the hashtag #DuruşumuzBelli in his post, Minister Gürlek also included the following statements by Erdoğan from the video:

“We move forward by renewing ourselves! We are reborn at every moment. We bid farewell to those who do wrong and succumb to their desires, and continue on our way, strengthened.”

REFERRAL DOCUMENT EMERGES

The referral document for arrest prepared regarding Fatma Betül Sayan Kaya has come to light.

In the document, it was stated that, as a result of transaction data and findings in the shares of the company named Özata Denizcilik San. ve Tic. A.Ş., the Capital Markets Board prepared a report indicating that the suspect Fatma Betül Sayan Kaya possessed non-public information that could affect the price or value of the capital market instrument or investors’ decisions.

It was written that, when the transactions in the relevant share and the capital and partnership structure on the Public Disclosure Platform (KAP) were examined, it was determined that Tera Group carried out a large amount of purchase transactions in OZATD shares on a company and fund basis.

In the statements taken, it was conveyed that Fatma Betül Sayan Kaya stated she had an acquaintance from the past with Tera Group manager Erdin Özel and that these meetings continued intensively during the share investment process. It was stated that Kaya said she also met with Emre Tezmen, Chairman of the Board of Tera Group, and that the fact she opened an investment account at Tera Group was confirmed by transactions and statements.

It was stated that the rise in the value of the relevant share began in April 2026, and the downward trend continued until September 16, 2026, one day before September 17, 2026, when the liquidation decision regarding the funds was made. It was recorded that Kaya bought OZATD shares in April 2026 and carried out the sale transaction on September 16, 2026. It was also conveyed that it was understood that the shares were not sold on the market on this date, but were taken over by Tera Yatırım Menkul Değerler A.Ş. through a transfer, and the share proceeds were deposited into the suspect’s account on the same day.

In the document, it was stated that the OZATD share was in a ‘T+2’ position, meaning that after the 2-business-day settlement process following the completion of the sale transaction, the amount obtained from the sale passed to the account. It was stated that the sale of the shares belonging to Fatma Betül Sayan Kaya was made in a ‘T+0’ position through a transfer and the balance passed to the account on the same day. It was conveyed that the transfer was made to Tera Yatırım Menkul Değerler A.Ş., and it was determined that on the same day the company deposited the share sale proceeds into the suspect’s account.

It was stated that the sale transaction took place on September 16, 2026, one day before the liquidation decision. Considering that the suspect was in dialogue with Tera Group managers and that her investment amount was high despite making a stock market investment for the first time, the assessment was included that she traded knowingly of the share’s price movement range and that the liquidation decision would be made.
