TOFAŞ'S COMMITMENT TO THE COMPETITION AUTHORITY



In the statement made by TOFAŞ to the Public Disclosure Platform (KAP) that day regarding the commitment, it was stated, "As long as there is a member of the Koç Family on the board of directors of Ford Otomotiv Sanayi A.Ş., one of the Koç Group companies, there will be no member of the Koç Family on our company's board of directors, the board members of both companies will consist of different individuals, and it has committed to ensuring that the board structure is established in accordance with this commitment within 30 business days following the closing of the transaction."



THE FIRST CHANGE CAME FROM FORD OTOMOTİV



TOFAŞ fulfilled its commitment to the Competition Authority and announced this with a statement to KAP. However, the first announcement came from Ford Otomotiv, which is part of the Koç Group. Ford Otomotiv announced that board member Levent Çakıroğlu has stepped down from this position.



In Ford's statement, it was said, "Mr. Levent Çakıroğlu, who was elected to the Board of Directors from among the candidates proposed by the B group shareholders at the Ordinary General Assembly Meeting held on March 26, 2025, has resigned from the Board of Directors. It has been decided by our Board of Directors to appoint Mr. Mehmet Apak to serve in the vacant Board of Directors position until the first General Assembly Meeting is held, and to complete the remaining term of his predecessor, subject to the approval of the General Assembly."



TOFAŞ'S STATEMENT REGARDING MANAGEMENT CHANGES



TOFAŞ Turkish Automobile Factory Inc.'s statement came after Ford's announcement. According to this statement, Ömer M. Koç, the head of Koç Holding, resigned from the chairmanship of TOFAŞ's board of directors. Along with him, İlker Eden also left the management.



LEVENT ÇAKIROĞLU REPLACES ÖMER M. KOÇ



Levent Çakıroğlu and Cengiz Eroldu were nominated to replace Ömer M. Koç and İlker Erden, while Maxime Picat was also among the candidates for the board of directors. Levent Çakıroğlu, who stepped down from Ford's board of directors, was also elected as the Chairman of TOFAŞ's Board of Directors.



In the statement made by TOFAŞ to KAP regarding the management changes, the following was noted:



"Due to the voluntary resignations of Board Members Mehmet Ömer Koç and İlker Erden, who were nominated by the A group shareholders, and Board Member Cengiz Eroldu, who was nominated by the D group shareholders, in accordance with Article 363 of the Turkish Commercial Code, it has been decided to appoint Levent Çakıroğlu and Cengiz Eroldu as Board Members nominated by the A group shareholders, and Maxime Picat as the candidate nominated by the D group shareholder, subject to the approval of the first General Assembly to be held, and to elect Levent Çakıroğlu as the Chairman of the Board of Directors."
