CAPITAL CEILING INCREASED BY 400 PERCENT
According to the statement sent by the yellow-navy blue club to the Public Disclosure Platform (KAP), the registered capital ceiling of the company was increased by 400 percent by a majority vote at the extraordinary general assembly. With the increase in the registered capital ceiling approved by the Capital Markets Board (CMB) on March 11, the yellow-navy blue club will be able to increase its capital up to 31 billion 250 million lira. The company's registered capital is 6 billion 250 million lira.
Fenerbahçe's statement is as follows:
"Within the framework of the decision of our company's Board of Directors to amend the articles of association;
In accordance with the provisions of Article 18 of the Capital Markets Law and within the framework of the CMB's Communiqué on the Registered Capital System numbered II.18-1, our company’s existing registered capital ceiling of 6,250,000,000.-TL (Six billion two hundred fifty million Turkish Lira) is to be increased to 31,250,000,000.-TL (Thirty-one billion two hundred fifty million Turkish Lira),
In this context, the amendment of Article 6 titled "Shares" of our company's articles of association,
Our decision to authorize the Management for the execution of all necessary transactions, including applying to the Capital Markets Board and the relevant Ministry for obtaining legal permits, and to present it for the approval of shareholders at the upcoming general assembly meeting has also been approved by the Ministry of Trade of the Republic of Turkey with its letter numbered E-50035491-431.02-00120076469.
In this context, the amendments to the articles of association have been submitted for the approval of shareholders at the General Assembly held on March 23, 2026, and it has been decided to amend as attached.
